Terms of Service

1. Introduction

These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your") and HopMembers ("HopMembers," "we," "us," "our") regarding your use of the HopMembers website, platform, and related services (the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Who we are

3. The Service

HopMembers provides tools for creators to sell memberships, digital products, and courses; process payments; and control access to channels such as Telegram, Discord, and WhatsApp. Creators may also connect third-party stores (including Shopify and WooCommerce) so that purchases of mapped products can unlock community or channel access. We may also provide related tools for buyers (members) to manage purchases and access.

We do not create, control, or guarantee the quality, legality, or availability of any creator content, community, offer, or store product. Creators are solely responsible for their offerings and for compliance with applicable law and third-party platform rules (including Shopify's Partner and merchant terms where they use Shopify).

4. Accounts and eligibility

You must be at least 16 years old (or the age of digital consent in your country, if higher) to use the Service. You must provide accurate information and keep it updated. You are responsible for activity under your account and for keeping access to your email and sign-in methods secure.

We may suspend or terminate accounts that violate these Terms, create risk for the platform or other users, or remain unpaid for platform fees.

5. Creators and members

Creators use HopMembers to publish pages, set prices, collect payments, and grant or revoke channel or content access.

Members / buyers purchase access from creators. Your purchase is a contract primarily between you and the creator. HopMembers provides the technology that enables checkout and access management.

6. Platform subscription (creators)

Creators may subscribe to HopMembers on a SaaS plan (currently $29/month USD, with a 14-day trial where offered). Pricing, trial length, and features may change; current pricing is shown at checkout and on the billing page.

If platform subscription fees are unpaid or your trial ends without an active plan, we may restrict creator tools, disable pages, pause channel automation, or limit payouts until the account is in good standing.

7. Payments, payouts, and processors

Member payments and creator payouts are processed by third-party payment providers, including Stripe. You agree to comply with their terms and acceptable-use policies. We do not store full payment card numbers on our servers.

Creators are responsible for taxes, invoicing obligations, and consumer-law duties that apply to their sales. HopMembers may hold, delay, or reverse payouts where required for fraud prevention, chargebacks, legal compliance, or unpaid platform fees.

8. Store integrations (Shopify and similar)

Creators may connect a third-party online store (including Shopify or WooCommerce) to HopMembers so that purchases of products they map in the Service can unlock community or channel access.

9. Channels and third-party platforms

Access to Telegram, Discord, WhatsApp, Shopify, WooCommerce, or similar services depends on those platforms. You must comply with their terms and API policies. We are not liable for outages, policy changes, bans, or API limits on third-party platforms. When a membership ends, expires, or is cancelled — or when a mapped store order is refunded or revoked — we may remove or revoke channel access.

10. Content and intellectual property

You retain ownership of content you upload. You grant HopMembers a worldwide, non-exclusive licence to host, display, transmit, and adapt that content solely as needed to operate and improve the Service. HopMembers owns the platform, software, design, and branding.

11. Acceptable use

You must not use the Service for illegal, harmful, fraudulent, or abusive activity, or to infringe others' rights. Prohibited activity includes content or businesses restricted by Stripe's Acceptable Use Policy and Restricted Businesses lists:

If you use Shopify or another store platform with HopMembers, you must also comply with that platform's acceptable-use and Partner or merchant policies.

12. Refunds and chargebacks

Creators are responsible for their refund policies toward members and store customers. HopMembers may issue refunds, reverse transactions, or withhold payouts where needed to handle chargebacks, fraud, or consumer protection requirements. For store-integrated purchases, refund and cancel events from the store may cause us to revoke related channel access.

Platform subscription fees paid to HopMembers are generally non-refundable except where required by law or expressly stated at purchase.

13. Privacy

Our Privacy Policy explains how we process personal data, including data received from store platforms such as Shopify. Our cookie practices are also described there.

14. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

15. Limitation of liability

To the fullest extent permitted by law, HopMembers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to HopMembers for the platform subscription in the 12 months before the claim, or (b) £100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.

16. Indemnity

You agree to indemnify and hold HopMembers harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content, your offers to members, your store products or sales, your breach of these Terms, or your violation of law or third-party rights (including Shopify or other platform terms).

17. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for Terms violations, unpaid fees, fraud risk, or legal requirements. Provisions that by nature should survive (including intellectual property, liability limits, indemnity, and governing law) will survive termination.

18. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-product notice where reasonably practicable. Continued use after the effective date constitutes acceptance of the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of England and Wales. Subject to any mandatory consumer protections that apply to you, the courts of England and Wales have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
